Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Aesthetic Pass ("Company," "we," "us," or "our"), the operator of the Aesthetic Pass platform, including the website located at aestheticpass.com, the Aesthetic Pass iOS mobile application, and all related services, features, content, and applications (collectively, the "Services").
Please read these Terms carefully before accessing or using our Services. By accessing or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.
1. Acceptance of Terms
1.1 By creating an account, downloading the Aesthetic Pass mobile application, accessing the Aesthetic Pass website, or otherwise using the Services, you represent and warrant that: (a) you are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater; (b) you have the legal capacity and authority to enter into a binding agreement; (c) you will use the Services in compliance with these Terms and all applicable local, national, and international laws, regulations, and ordinances; and (d) all registration information you submit is truthful, accurate, current, and complete.
1.2 If you are using the Services on behalf of a business entity, such as a clinic, medical practice, or healthcare organization ("Organization"), you represent and warrant that you have the authority to bind that Organization to these Terms, and you agree to these Terms on behalf of that Organization. In such cases, "you" and "your" shall refer to both you individually and the Organization.
1.3 We reserve the right to refuse access to the Services to anyone for any reason at any time. We may, in our sole discretion, restrict, suspend, or terminate your access to all or any part of the Services at any time, with or without notice.
2. Description of Services
2.1 Aesthetic Pass is a business-to-business-to-consumer (B2B2C) technology platform designed to serve patients, aesthetic practitioners, and clinics operating in the field of aesthetic medicine. Our Services include, but are not limited to:
- Treatment Passport: A digital record-keeping system that allows patients to maintain a comprehensive history of their aesthetic treatments, including procedures performed, products used, treating practitioners, dates, and associated clinical notes.
- QR Passport Sharing: A feature that enables patients to share their treatment history with authorized providers through secure, time-limited QR codes and tokenized access links, granting temporary, read-only access to specified treatment records.
- Supply Chain Verification: An informational tool that allows users to look up product lot numbers and manufacturer information associated with aesthetic products logged in their treatment records.
- Analytics and Insights: Data-driven dashboards and reports for patients, providers, and clinics to understand treatment patterns, product usage, and patient engagement metrics.
- Provider and Clinic Dashboards: Administrative tools enabling practitioners and clinic operators to manage patient records, log treatments, track inventory, and oversee business operations within the platform.
- Patient Application: An iOS mobile application and web interface through which patients access their treatment passport, communicate with providers, manage their accounts, and utilize premium features.
2.2 The Services are intended for informational and record-keeping purposes only. We do not provide, facilitate, or endorse any medical services, treatments, or procedures. The Services are not intended to replace, supplement, or serve as a substitute for professional medical judgment, diagnosis, or treatment.
2.3 We may, at our sole discretion, modify, update, expand, or discontinue any aspect of the Services at any time, with or without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services or any part thereof.
3. Account Registration and Security
3.1 To access certain features of the Services, you must create an account by providing accurate, complete, and current registration information, including but not limited to your full legal name, email address, and such other information as may be required during the registration process. You agree to update your registration information promptly to keep it accurate, complete, and current at all times.
3.2 You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password, and for all activities that occur under your account. You agree to: (a) create a strong, unique password that you do not use for any other service; (b) not share your account credentials with any third party; (c) immediately notify us at legal@aestheticpass.com of any unauthorized use of your account or any other breach of security; and (d) ensure that you log out of your account at the end of each session when accessing the Services from a shared device.
3.3 The Services may offer biometric authentication features, such as Face ID or Touch ID, as an additional security measure ("Biometric Lock"). If you choose to enable Biometric Lock, you acknowledge that: (a) biometric data is processed locally on your device and is not transmitted to or stored on our servers; (b) the security and accuracy of biometric authentication depends on your device's hardware and software, and we make no representations or warranties regarding its reliability; and (c) you remain solely responsible for securing access to your device.
3.4 You may not create more than one personal account. You may not use another person's account without their express written permission and our prior consent. We reserve the right to suspend or terminate accounts that we reasonably believe have been created or are being used in violation of these Terms.
4. User Conduct and Responsibilities
4.1 You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not use the Services to:
- Violate any applicable law, regulation, ordinance, or the rights of any third party;
- Upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or otherwise objectionable;
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity, including but not limited to misrepresenting your professional qualifications or credentials;
- Upload, post, or transmit any content that you do not have a right to make available under any law or contractual or fiduciary relationship;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services, servers, networks, or databases connected to the Services;
- Use any automated means, including robots, crawlers, scrapers, or data mining tools, to access, collect, or interact with the Services;
- Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
- Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code or underlying algorithms of any part of the Services;
- Create fraudulent treatment records, falsify product information, or input intentionally misleading data into the platform;
- Use the Services to provide medical advice, diagnose conditions, or recommend treatments to other users; or
- Circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict use or copying of any content.
4.2 You acknowledge that you are solely responsible for the accuracy, completeness, and legality of all content, data, and information that you submit, upload, or transmit through the Services, including but not limited to treatment records, photographs, notes, and personal information.
5. Medical Disclaimer
IMPORTANT MEDICAL DISCLAIMER: AESTHETIC PASS IS NOT A MEDICAL DEVICE. THE SERVICES DO NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT RECOMMENDATIONS. AESTHETIC PASS IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL CARE, AND NOTHING CONTAINED IN OR ACCESSIBLE THROUGH THE SERVICES SHOULD BE CONSTRUED AS MEDICAL ADVICE, A MEDICAL DIAGNOSIS, A TREATMENT RECOMMENDATION, OR A PROFESSIONAL MEDICAL OPINION.
5.1 The Services are designed solely as a digital record-keeping and informational platform. All treatment information displayed, stored, or transmitted through the Services is provided for personal record-keeping purposes only. You should not rely on the Services as a basis for making medical decisions. Always seek the advice of a qualified healthcare professional with any questions you may have regarding a medical condition, treatment, or procedure.
5.2 The inclusion of any product, treatment, procedure, or provider within the Services does not constitute an endorsement, recommendation, or approval by Aesthetic Pass. We do not evaluate, verify, or guarantee the safety, efficacy, appropriateness, or quality of any treatments, procedures, or products referenced in the Services.
5.3 Treatment records stored within the Services are created and maintained by users (including patients and providers) and may contain errors, inaccuracies, or omissions. Aesthetic Pass does not independently verify the accuracy, completeness, or currency of any treatment records and shall not be held liable for any errors or omissions therein.
5.4 You acknowledge and agree that: (a) the Services are not intended to be used in emergency medical situations; (b) any reliance on information provided through the Services is solely at your own risk; (c) treatment outcomes depend on numerous factors outside the control of Aesthetic Pass, including but not limited to individual patient characteristics, provider skill, product quality, and post-treatment care; and (d) you will not hold Aesthetic Pass responsible for any treatment outcomes, adverse reactions, complications, or injuries resulting from treatments recorded in or discovered through the Services.
5.5 Aesthetic Pass does not practice medicine, does not hold any medical licenses, and is not a regulated medical entity. The platform is a technology service that facilitates record-keeping and information sharing between patients and providers. No physician-patient, practitioner-patient, or other healthcare provider relationship is created by your use of the Services.
6. Intellectual Property
6.1 The Services, including but not limited to the Aesthetic Pass website, mobile application, platform architecture, user interface designs, graphics, logos, trademarks, service marks, trade names, text, images, software, algorithms, source code, object code, data compilations, and all other content and materials made available through the Services (collectively, "Company Content"), are owned by or licensed to Aesthetic Pass and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights under the laws of the United Arab Emirates and applicable international treaties.
6.2 Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and Company Content solely for your personal, non-commercial use (for patient users) or for your authorized business purposes (for provider and clinic users), in each case strictly in accordance with these Terms. This license does not include any right to: (a) sell, resell, or commercially exploit the Services or Company Content; (b) distribute, publicly perform, or publicly display any Company Content; (c) modify or create derivative works based on the Services or Company Content; or (d) use any data mining, robots, or similar data gathering or extraction methods on the Services.
6.3 The Aesthetic Pass name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Aesthetic Pass or its affiliates. You may not use such marks without our prior written consent. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.
6.4 Any feedback, suggestions, ideas, enhancement requests, or other communications that you provide to us regarding the Services ("Feedback") shall be deemed non-confidential and non-proprietary. You hereby grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and otherwise exploit any Feedback for any purpose without compensation, attribution, or obligation to you.
7. User Content
7.1 The Services may allow you to submit, upload, store, transmit, or display content, including but not limited to photographs, treatment notes, clinical images, text, data, and other materials ("User Content"). You retain all ownership rights in your User Content. Aesthetic Pass does not claim ownership of any User Content that you submit to the Services.
7.2 By submitting User Content to the Services, you grant Aesthetic Pass a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, store, transmit, display, and distribute your User Content solely for the purposes of: (a) operating, maintaining, and improving the Services; (b) providing the Services to you and other authorized users with whom you have shared access; (c) creating anonymized, aggregated, and de-identified datasets for analytics, research, and product improvement purposes, provided that such datasets cannot be used to identify you individually; and (d) complying with applicable legal obligations. This license continues for a commercially reasonable period after you delete your User Content from the Services, solely to the extent necessary for backup, archival, and legal compliance purposes.
7.3 You represent and warrant that: (a) you own or have the necessary rights, licenses, consents, and permissions to submit your User Content to the Services and to grant the foregoing license; (b) your User Content does not violate, misappropriate, or infringe upon the rights of any third party, including intellectual property rights, privacy rights, or publicity rights; and (c) your User Content does not contain any material that is unlawful, defamatory, obscene, or otherwise objectionable.
7.4 We do not endorse, guarantee, or assume any responsibility for any User Content. We reserve the right, but are not obligated, to review, monitor, edit, or remove any User Content at our sole discretion and without notice if we determine, in our sole judgment, that such content violates these Terms or may be harmful, objectionable, or otherwise inappropriate.
8. Privacy
8.1 Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, store, share, and protect your personal information. Our Privacy Policy is incorporated into and forms part of these Terms. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.
8.2 You acknowledge that the Services handle sensitive personal data, including health-related information and treatment records. We implement industry-standard technical and organizational security measures to protect your data, including encryption in transit and at rest, access controls, and regular security audits. However, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security of your data.
8.3 Where the Services are used in jurisdictions that require compliance with specific health data protection regulations (including but not limited to HIPAA in the United States, GDPR in the European Union, or PDPL in the United Arab Emirates), we will endeavor to maintain compliance with applicable regulations as described in our Privacy Policy and any supplemental data processing agreements.
9. Payment Terms
9.1 Patient Subscriptions. Aesthetic Pass offers a free tier with basic features and a premium subscription tier ("Premium") that provides access to enhanced features. Premium subscriptions are available at the following rates: USD $4.99 per month or USD $39.99 per year. Patient Premium subscriptions are processed through Apple In-App Purchase ("Apple IAP") and managed via RevenueCat. All pricing is subject to change upon reasonable notice to subscribers.
9.2 Clinic Subscriptions. Clinics may subscribe to the following service tiers: (a) Starter (free, with limited features); (b) Pro (USD $99.00 per month); or (c) Enterprise (USD $299.00 per month). Clinic subscriptions are processed through Stripe. All pricing is subject to change upon reasonable notice to subscribers.
9.3 Auto-Renewal. All paid subscriptions (both patient and clinic) automatically renew at the end of each billing cycle (monthly or annually, as applicable) unless cancelled before the end of the current billing period. By subscribing, you authorize the applicable payment processor to charge the subscription fee for each renewal period to the payment method on file. You will be notified of any price changes before they take effect, and your continued use of the Services after the price change constitutes your acceptance of the new pricing.
9.4 Cancellation. You may cancel your subscription at any time. For patient subscriptions, cancellation must be performed through your Apple ID account settings or the App Store, as Apple manages the billing relationship. For clinic subscriptions, cancellation may be performed through the Aesthetic Pass dashboard or by contacting us at legal@aestheticpass.com. Upon cancellation, your subscription will remain active until the end of the current billing period, after which it will not renew and your access will revert to the free tier.
9.5 Refunds. For patient subscriptions processed through Apple IAP, refund requests are subject to Apple's refund policies and must be submitted directly to Apple. Aesthetic Pass does not process refunds for Apple IAP transactions. For clinic subscriptions processed through Stripe, refunds may be issued at our sole discretion on a case-by-case basis. No refunds will be provided for partial billing periods, and no prorated refunds will be issued for early cancellation unless required by applicable law.
9.6 Taxes. All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for paying any such taxes that may be applicable to your subscription, except for taxes based solely on our net income.
9.7 Free Trial. We may, from time to time, offer free trial periods for Premium subscriptions. If you do not cancel before the free trial expires, your subscription will automatically convert to a paid subscription at the then-current rate, and the applicable payment method will be charged.
10. QR Passport Sharing
10.1 The QR Passport Sharing feature allows you to generate secure, time-limited QR codes and tokenized access links that grant temporary, read-only access to specified treatment records within your passport. You maintain sole control over which records are shared, with whom they are shared, and the duration of access.
10.2 By generating a QR code or sharing link, you provide your express consent for the designated recipient to view the specified treatment records for the duration of the access token's validity. You acknowledge and agree that: (a) once a QR code or link is generated, the information may be accessed by anyone who possesses the code or link during its validity period; (b) you are solely responsible for distributing QR codes and sharing links to intended recipients only; (c) Aesthetic Pass is not responsible for any unauthorized access that results from your sharing of a QR code or link with unintended parties; and (d) while access tokens are time-limited and expire automatically, any information viewed during the access period may have been copied, screenshotted, or otherwise recorded by the recipient.
10.3 You may revoke access to any shared QR code or link at any time through the Services. Revocation takes effect immediately, but does not affect any information that was already accessed or recorded by the recipient prior to revocation.
10.4 Providers and clinics who access patient records through QR Passport Sharing agree that: (a) they will use the shared information solely for the purpose of providing medical care to the patient; (b) they will not copy, redistribute, or store the shared information beyond what is necessary for patient care and legally required record-keeping; and (c) they will handle all shared information in accordance with applicable data protection laws and professional ethical obligations.
11. Supply Chain Verification
11.1 The Supply Chain Verification feature allows users to look up product information associated with lot numbers recorded in treatment records. This feature is provided for informational purposes only.
11.2 You expressly acknowledge and agree that: (a) Aesthetic Pass does not manufacture, distribute, or sell any aesthetic products; (b) lot number verification results are based on information provided by third-party manufacturers, distributors, and databases, and Aesthetic Pass does not independently verify the accuracy, completeness, or currency of such information; (c) the display of product or lot number information within the Services does not constitute a guarantee, certification, or warranty of the authenticity, safety, efficacy, or quality of any product; (d) verification results may be incomplete, outdated, or inaccurate due to factors outside our control, including delays in manufacturer reporting, counterfeit lot numbers, or database errors; and (e) you should always verify product authenticity and safety directly with the manufacturer or an authorized distributor and consult with a qualified healthcare professional before making any decisions based on product information obtained through the Services.
11.3 Aesthetic Pass shall not be held liable for any loss, injury, adverse reaction, or damage arising from reliance on product information or verification results provided through the Supply Chain Verification feature, including but not limited to claims related to counterfeit products, mislabeled products, or products that have been recalled, expired, or otherwise rendered unsafe.
12. Provider and Clinic Terms
12.1 In addition to the general Terms applicable to all users, providers and clinics agree to the following supplemental terms:
12.2 Accuracy of Treatment Records. Providers and clinics are solely responsible for the accuracy, completeness, and timeliness of all treatment records entered into the Services. You represent and warrant that all treatment records accurately reflect the treatments actually performed, the products actually used, and the clinical observations actually made. Falsification, fabrication, or material misrepresentation of treatment records is strictly prohibited and may result in immediate termination of your account, as well as potential legal consequences.
12.3 Patient Consent. Before creating, accessing, or modifying any patient record within the Services, providers and clinics must obtain all consents required by applicable law, including but not limited to: (a) informed consent for the treatment itself; (b) consent for the digital recording and storage of treatment information within the Services; and (c) consent for the sharing of treatment information with other providers or third parties through the Services. You are solely responsible for obtaining, documenting, and maintaining all required consents. Aesthetic Pass does not verify that required consents have been obtained and shall not be liable for your failure to obtain them.
12.4 Professional Licensing. Providers represent and warrant that they hold all licenses, certifications, and credentials required by applicable law to perform the treatments recorded in the Services, and that such licenses remain current and in good standing. You agree to promptly notify Aesthetic Pass of any changes to your licensing status. Aesthetic Pass may, but is not obligated to, verify your professional credentials and reserves the right to suspend or terminate your account if we reasonably believe that you do not hold the required licenses.
12.5 Data Responsibility. Providers and clinics acknowledge that they may act as data controllers (or equivalent under applicable law) with respect to patient data processed through the Services. You agree to handle all patient data in compliance with applicable data protection laws, professional ethical standards, and any data processing agreements entered into with Aesthetic Pass.
12.6 No Endorsement. Listing or registration as a provider or clinic on the platform does not constitute an endorsement, recommendation, or certification by Aesthetic Pass. We do not evaluate the quality of care provided by any provider or clinic.
13. Limitation of Liability
PLEASE READ THIS SECTION CAREFULLY. IT LIMITS THE LIABILITY OF AESTHETIC PASS AND ITS AFFILIATES TO YOU.
13.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AESTHETIC PASS, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, SUBCONTRACTORS, OR SUPPLIERS (COLLECTIVELY, THE "AESTHETIC PASS PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE SERVICES; (B) ANY TREATMENT, PROCEDURE, OR MEDICAL SERVICE RECORDED IN, REFERENCED BY, OR DISCOVERED THROUGH THE SERVICES; (C) ANY ADVERSE REACTION, COMPLICATION, INJURY, OR DEATH RESULTING FROM ANY TREATMENT OR PRODUCT; (D) ANY ERRORS, INACCURACIES, OR OMISSIONS IN TREATMENT RECORDS, PRODUCT INFORMATION, OR OTHER CONTENT; (E) ANY UNAUTHORIZED ACCESS TO OR USE OF YOUR ACCOUNT OR PERSONAL DATA; (F) THE CONDUCT OF ANY THIRD PARTY, INCLUDING PROVIDERS, CLINICS, OR OTHER USERS; (G) ANY PRODUCTS OR SERVICES OBTAINED THROUGH OR REFERENCED BY THE SERVICES; OR (H) ANY OTHER MATTER RELATING TO THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF THE AESTHETIC PASS PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE AESTHETIC PASS PARTIES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF FEES PAID BY YOU TO AESTHETIC PASS DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).
13.3 WITHOUT LIMITING THE FOREGOING, AESTHETIC PASS EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY FOR: (A) THE QUALITY, SAFETY, OR OUTCOME OF ANY AESTHETIC TREATMENT OR MEDICAL PROCEDURE, WHETHER OR NOT SUCH TREATMENT OR PROCEDURE WAS RECORDED IN THE SERVICES; (B) THE ACCURACY, AUTHENTICITY, OR SAFETY OF ANY PRODUCT IDENTIFIED THROUGH THE SUPPLY CHAIN VERIFICATION FEATURE; (C) THE PROFESSIONAL COMPETENCE, LICENSING STATUS, OR CONDUCT OF ANY PROVIDER OR CLINIC LISTED IN OR ACCESSED THROUGH THE SERVICES; (D) ANY DECISION MADE BY YOU OR A HEALTHCARE PROFESSIONAL BASED ON INFORMATION OBTAINED FROM THE SERVICES; AND (E) ANY LOSS OR DAMAGE RESULTING FROM YOUR SHARING OF TREATMENT RECORDS THROUGH THE QR PASSPORT SHARING FEATURE.
13.4 Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations and exclusions set forth in this Section 13 shall apply to the fullest extent permitted by the applicable law of such jurisdiction.
14. Indemnification
14.1 You agree to defend, indemnify, and hold harmless the Aesthetic Pass Parties from and against any and all claims, actions, demands, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in connection with: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law, regulation, or the rights of any third party; (e) your negligent or wrongful acts or omissions; (f) for providers and clinics, any treatment or procedure performed by you or under your supervision, whether or not such treatment was recorded in the Services; (g) for providers and clinics, your failure to obtain required patient consents; or (h) any dispute between you and another user of the Services.
14.2 We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defenses. You shall not settle any claim subject to this Section 14 without our prior written consent.
15. Disclaimers
15.1 THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AESTHETIC PASS PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
15.2 WITHOUT LIMITING THE FOREGOING, THE AESTHETIC PASS PARTIES MAKE NO REPRESENTATION OR WARRANTY THAT: (A) THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE, RELIABLE, OR COMPLETE; (D) ANY ERRORS OR DEFECTS IN THE SERVICES WILL BE CORRECTED; (E) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (F) THE SERVICES WILL BE COMPATIBLE WITH ANY PARTICULAR HARDWARE OR SOFTWARE.
15.3 AESTHETIC PASS MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE OUTCOME OF ANY MEDICAL TREATMENT, AESTHETIC PROCEDURE, OR PRODUCT USE. THE SERVICES DO NOT GUARANTEE ANY SPECIFIC RESULTS OR OUTCOMES AND SHALL NOT BE RELIED UPON AS A BASIS FOR MEDICAL DECISION-MAKING. ANY INFORMATION OR CONTENT OBTAINED THROUGH THE SERVICES IS USED AT YOUR OWN DISCRETION AND RISK.
15.4 No advice, information, or statement, whether oral or written, obtained from the Aesthetic Pass Parties or through the Services shall create any warranty not expressly stated in these Terms.
16. Termination
16.1 We may, in our sole discretion, suspend, restrict, or terminate your account and access to all or part of the Services at any time, with or without cause and with or without notice, including but not limited to in the event of: (a) a violation of these Terms; (b) a request by law enforcement or other government agency; (c) a request by you (self-initiated account deletion); (d) discontinuation or material modification of the Services; (e) unexpected technical or security issues; (f) extended periods of inactivity; (g) engagement in fraudulent or illegal activities; or (h) nonpayment of any fees owed.
16.2 You may terminate your account at any time by using the account deletion feature within the Services or by contacting us at legal@aestheticpass.com. Upon account deletion: (a) your access to the Services will cease immediately; (b) any active subscription will continue until the end of the current billing period and will not renew; (c) we will delete or anonymize your personal data in accordance with our Privacy Policy and applicable law, subject to any legal retention obligations; and (d) any User Content that has been shared with or incorporated into other users' records (e.g., treatment records entered by providers) may be retained in anonymized or de-identified form.
16.3 Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, limitations of liability, and dispute resolution provisions.
16.4 We will endeavor to provide you with a reasonable opportunity to export your treatment records prior to account deletion, subject to technical feasibility and applicable law. However, we are not obligated to maintain or provide access to your data following termination of your account.
17. Dispute Resolution
17.1 Governing Law. These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to its conflict of law principles.
17.2 Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@aestheticpass.com and attempt to resolve the dispute informally for a period of at least sixty (60) days. During this informal resolution period, both parties agree to negotiate in good faith to resolve the dispute.
17.3 Arbitration. If a dispute cannot be resolved informally within the sixty (60) day period, you and Aesthetic Pass agree that any dispute, controversy, or claim arising out of or relating to these Terms, the Services, or the relationship between you and Aesthetic Pass shall be finally resolved by binding arbitration administered by the Dubai International Arbitration Centre ("DIAC") in accordance with its Arbitration Rules in effect at the time of the dispute. The seat and venue of arbitration shall be Dubai, United Arab Emirates. The language of the arbitration shall be English. The arbitration shall be conducted by a single arbitrator appointed in accordance with the DIAC Rules. The decision of the arbitrator shall be final and binding on both parties, and judgment on the arbitration award may be entered in any court of competent jurisdiction.
17.4 Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND AESTHETIC PASS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MORE THAN ONE PARTY AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
17.5 Exceptions. Notwithstanding the foregoing, either party may bring an action in the courts of Dubai, United Arab Emirates for: (a) injunctive relief to prevent imminent, irreparable harm; (b) claims related to intellectual property infringement; or (c) any claims that are not subject to arbitration under applicable law.
17.6 Limitation Period. You agree that any claim or cause of action arising out of or related to these Terms or the Services must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred, to the extent permitted by applicable law.
18. Modifications to Terms
18.1 We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. If we make material changes to these Terms, we will notify you by: (a) posting the updated Terms on the Services with a revised "Last Updated" date; (b) sending a notification to the email address associated with your account; or (c) providing an in-app notification. We will provide at least thirty (30) days' advance notice before any material changes take effect, unless the changes are required by law or relate to the addition of new features or services.
18.2 Your continued use of the Services after the effective date of any modified Terms constitutes your acceptance of and agreement to be bound by the modified Terms. If you do not agree to the modified Terms, you must stop using the Services and may terminate your account in accordance with Section 16.
18.3 We encourage you to review these Terms periodically to stay informed of any updates. The most current version of these Terms will always be available at aestheticpass.com/terms.
19. Severability
19.1 If any provision of these Terms is held to be invalid, illegal, void, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent. If such modification is not possible, the invalid provision shall be severed from these Terms, and the remaining provisions shall remain in full force and effect, unimpaired and unaffected by the invalidity of the severed provision.
19.2 The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any term of these Terms shall be effective only if in writing and signed by an authorized representative of the waiving party.
20. Entire Agreement
20.1 These Terms, together with the Privacy Policy and any other legal notices, policies, or agreements published by Aesthetic Pass on the Services, constitute the entire agreement between you and Aesthetic Pass with respect to your use of the Services and supersede all prior or contemporaneous communications, agreements, representations, warranties, and understandings, whether oral or written, between you and Aesthetic Pass regarding such subject matter.
20.2 Nothing in these Terms shall be construed to create a joint venture, partnership, employment, agency, or franchise relationship between you and Aesthetic Pass. You may not assign or transfer these Terms or any rights or obligations hereunder, in whole or in part, without our prior written consent. We may assign these Terms, in whole or in part, without restriction and without notice to you. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their respective successors and permitted assigns.
20.3 The section headings in these Terms are for convenience only and shall not affect the interpretation of any provision.
